The Vice President of Tax serves as the source of tax expertise and leadership for the company and oversees all tax matters. The VP of Tax is responsible to lead the tax department for the company providing guidance to other members of the senior management team on tax implications of ongoing and potential business activities as well as day-to-day tax planning, tax accounting and tax compliance activities. The VP of Tax will oversee all direct and indirect tax reporting and accounting in accordance with US GAAP and all applicable state, local, federal and international tax laws.  Reports directly to the CFO.

Tax Planning

  • Lead tax due diligence and planning efforts related to business expansion and corporate development activities, including acquisitions, tax credits, and partnership
  • Ensure that investment in new business will be structured efficiently to avoid adverse income tax issues for stakeholders
  • Develop strong relationships with tax attorneys, accountants, consultants and other professional service firms and utilize their services in an appropriate manner

Tax Accounting/Compliance/Controversy

  • Oversee and manage processes for preparation of quarterly and annual income tax provision with US GAAP requirements, particularly ASC 740 - Accounting for Income Taxes to ensure accurate and timely financial reporting
  • Oversee the calculation and preparation of quarterly and annual Up-C tax receivable agreement liability
  • Analyze and prioritize tax accounting positions taking into consideration the business implications as well as efficiencies and benefits
  • Ensure preparation of appropriate documentation to support tax positions and reserves including work papers, opinion letters and memos to file
  • Establish and maintain tax materiality and risk tolerance working with both internal and external auditors
  • Identify and mitigate risks in the tax area, through the development and adherence to internal controls to comply with all requirements of Sarbanes-Oxley
  • Ensure accurate and timely filing of all relevant tax returns in all jurisdictions
  • Oversee and manage the sales tax function including compliance, controversy, and planning
  • Oversee and manage the property tax function including compliance, controversy, and planning
  • Monitor tax legislative developments, communicate impact of tax law/accounting changes on business operations and lead change efforts to ensure compliance
  • Manage federal and state tax audits, including preparation of responses to information/document requests
  • Manage all external engagements including but not limited to income tax compliance and tax receivable agreement
  • Manage international tax matters for overseas joint venture investment
  • Manage/coordinate IRS, federal, state and international audits including collaborations with legal, accounting and others as needed to affect a beneficial outcome of controversies

Tax Operations

  • Formulate and implement corporate policies on all forms of taxation
  • Manage outside vendors and contractors to ensure high quality deliverables and successful results within allotted budgets
  • Work with FP&A team on yearly departmental budget
  • Manage the abatement process internally and for customers
  • Assist as needed with the annual audit and quarterly review activities with the external auditors, including preparation of the tax-related financial statement disclosures


Required Job Skills:

  • Excellent knowledge of GAAP, including ASC 740 principles, income tax provision process, sales and use tax, property tax and multistate income
  • Up-C and/or REIT experience is a plus
  • Excellent knowledge of federal tax laws for corporations and partnerships
  • Highly detail-oriented, organized with ability to manage multiple priorities and deliver assignments on time
  • Ability to work in a fast-paced environment and meet assigned deadlines as required
  • Exhibit a high degree of integrity, including ability to successfully deal with sensitive or confidential information
  • Ability to exhibit poise, composure and confidence when confronting stressful or high-pressure situations
  • Must be able to work flexible hours during peak times
  • Must possess highly developed verbal and written communication skills
  • Exceptional leadership skills with the ability to lead, develop and mentor staff
  • Proven ability to collaborate with internal and external customers

Education and Experience:

Certification:       Active CPA, required

Education:          Bachelor’s degree in Accounting or other related field, required MBA, or Masters of Taxation, highly desired

Experience:         15+ years of progressive experience; inclusive of publicly traded enterprises. Experience should include oversight of all tax functions relevant to this position.  Experience with an Up-C structure with a Tax Receivable Agreement or experience with REIT structure is highly desired.
